Terms of Service

1. Acceptance of Terms
By accessing or using the Codeeka mobile application, website, APIs, relay, bridge software, sandbox provisioning features, billing features, or related services (collectively, the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
Codeeka is operated by Codeeka Technologies Private Limited, a company incorporated under the laws of the Republic of India with its registered office in Andhra Pradesh, India ("Codeeka", "Company", "we", "us", or "our").
2. Eligibility and Authority
You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. If you use the Service on behalf of a company, team, or other organization, you represent that you are authorized to bind that organization to these Terms.
You are responsible for ensuring that your use of the Service is lawful in the country or region where you access it.
3. Account Registration and Security
Some features require an account. You agree to provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your credentials, authentication providers, devices, API access, linked GitHub accounts, and any paired machines or bridges.
You must notify us promptly if you suspect unauthorized access to your account or devices. We may suspend or restrict access if we believe an account, device, token, bridge, or integration is compromised or being misused.
4. Description of the Service
Codeeka provides a mobile-first command center for controlling AI-powered coding agents and developer workflows. Depending on your configuration, the Service may include:
- Remote session monitoring and control for coding agents.
- Local bridge pairing between your phone and your own machine.
- Cloud VM or sandbox provisioning.
- GitHub repository, branch, pull request, and installation workflows.
- Notifications, relay messages, billing, credits, and account management.
- Integrations with third-party AI, cloud, authentication, payment, and developer services.
Codeeka is a control and coordination layer. AI agents, command-line tools, repositories, package managers, cloud services, and your local machine may perform work outside Codeeka. You remain responsible for reviewing, testing, approving, deploying, and securing all code and commands generated or executed through your workflows.
5. User Content and Code
"User Content" includes source code, prompts, repository metadata, commands, diffs, files, logs, messages, project names, branch names, pull request details, and other content you provide, connect, transmit, or cause to be processed through the Service.
You retain ownership of your User Content. You grant Codeeka a limited license to process User Content only as needed to provide, secure, troubleshoot, improve, and support the Service, comply with law, and enforce these Terms.
You represent that you have all rights needed to use, upload, connect, or process User Content through the Service, including any code, repositories, credentials, and third-party materials.
6. AI Agents and Generated Output
The Service may help you control third-party or local AI coding agents, including Claude Code, OpenAI Codex, and future integrations. AI-generated output may be incomplete, insecure, inaccurate, infringing, harmful, or unsuitable for production.
You are solely responsible for:
- Reviewing and testing generated code before use.
- Confirming security, license, compliance, and correctness.
- Deciding whether to accept, reject, deploy, publish, or merge output.
- Any impact caused by commands, code changes, deployments, or automated workflows.
Codeeka does not guarantee the quality, safety, legality, or fitness of AI-generated output.
7. Acceptable Use
You agree not to:
- Use the Service for unlawful, harmful, fraudulent, abusive, or deceptive activity.
- Attempt to access accounts, devices, systems, repositories, data, or networks without authorization.
- Bypass rate limits, billing controls, credit limits, access controls, security controls, or usage restrictions.
- Upload, transmit, execute, or request malicious code, credential theft, destructive commands, exploit chains, or unauthorized surveillance.
- Use the Service to infringe intellectual property, privacy, publicity, contractual, or other rights.
- Interfere with the Service, relay, APIs, infrastructure, or other users.
- Reverse engineer, decompile, or attempt to extract source code from non-open-source portions of the Service except as permitted by law.
- Misrepresent your identity, affiliation, or authorization.
- Use automated access in a way that harms the Service or violates published documentation.
8. Local Bridge, Devices, and Sandboxes
When you pair a local bridge or start a cloud sandbox, you are responsible for the machine, repository, environment variables, package installation, secrets, credentials, network access, and commands made available to the agent.
You should avoid exposing production credentials, regulated data, private keys, and sensitive systems unless you have assessed the risk and implemented appropriate controls.
We may terminate abandoned, abusive, compromised, unpaid, or policy-violating sessions or sandboxes.
9. Third-Party Services
The Service integrates with services such as Firebase, Google, GitHub, Razorpay, cloud providers, AI providers, and other developer tools. Your use of third-party services is governed by their own terms and privacy policies.
We are not responsible for third-party service availability, pricing, data handling, API changes, security incidents, generated output, or account decisions. You are responsible for configuring and maintaining your third-party accounts and permissions.
10. Payments, Credits, Subscriptions, and Refunds
Paid features may require credits, subscriptions, usage-based charges, or one-time payments. Prices, plan limits, included credits, renewal periods, taxes, and refund eligibility are shown at checkout, in billing screens, or in related product notices.
By purchasing a paid plan, you authorize Codeeka and its payment processors to charge your selected payment method for applicable fees, taxes, renewals, upgrades, and usage. Subscriptions renew automatically unless cancelled before the renewal date.
Refunds are handled according to the refund terms shown in the product and applicable law. We may change pricing, plans, credit allocation, and included features with reasonable notice where required.
11. Intellectual Property
The Service, including its software, design, branding, user interface, documentation, logos, trademarks, and related materials, is owned by or licensed to Codeeka and protected by applicable intellectual property laws.
These Terms do not grant you any right to use Codeeka trademarks, logos, or branding except as expressly permitted by us in writing.
12. Feedback
If you provide feedback, suggestions, ideas, or bug reports, you grant Codeeka a perpetual, worldwide, royalty-free right to use them without restriction or compensation. We are not obligated to treat feedback as confidential.
13. Privacy and Data Protection
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, share, retain, and protect personal data.
You are responsible for ensuring that your use of the Service complies with data protection, employment, confidentiality, export control, intellectual property, and other obligations that apply to your User Content and workflows.
14. Service Availability and Changes
We may modify, suspend, discontinue, rate-limit, or restrict any part of the Service at any time. We try to provide reliable service, but we do not guarantee uninterrupted availability, data preservation, compatibility with all third-party tools, or error-free operation.
We may release beta, experimental, or preview features. Such features may be unstable, change without notice, or be removed.
15. Suspension and Termination
You may stop using the Service at any time and may request account deletion through the app or by contacting us.
We may suspend or terminate access if you violate these Terms, create security or legal risk, fail to pay amounts due, misuse credits, harm the Service, or use the Service in a way that may expose Codeeka or others to liability.
After termination, your right to use the Service ends immediately. Sections that by their nature should survive will survive, including provisions on User Content, intellectual property, payments owed, disclaimers, limitation of liability, indemnity, dispute resolution, and general terms.
16. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise.
We do not warrant that the Service, integrations, AI agents, sandboxes, generated output, notifications, billing systems, or relay communications will be uninterrupted, secure, accurate, complete, compliant, or fit for your particular purpose.
You use generated code, commands, deployments, repositories, and third-party integrations at your own risk.
17. Limitation of Liability
To the maximum extent permitted by law, Codeeka and its directors, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, security incidents, code defects, deployment failures, or loss of goodwill.
To the maximum extent permitted by law, Codeeka's total liability for all claims relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Codeeka for the Service in the 12 months before the event giving rise to the claim; or (b) INR 5,000.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
18. Indemnity
You agree to indemnify and hold harmless Codeeka, its directors, officers, employees, contractors, affiliates, and agents from claims, damages, liabilities, losses, costs, and expenses, including reasonable legal fees, arising from:
- Your use of the Service.
- Your User Content, repositories, code, prompts, commands, or deployments.
- Your violation of these Terms or applicable law.
- Your violation of third-party rights.
- Your third-party accounts, integrations, credentials, devices, bridges, or sandboxes.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of India.
The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute is not resolved within 30 days, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Hyderabad, Telangana, India. The language of arbitration will be English.
Subject to the arbitration clause, courts in Hyderabad, India will have exclusive jurisdiction. Either party may seek urgent injunctive or equitable relief from a court of competent jurisdiction.
20. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated through the Service, email, or website notice where practical. The updated Terms will state their effective date.
Your continued use of the Service after updated Terms take effect means you accept the updated Terms. If you do not agree, stop using the Service and delete your account.
21. General Terms
If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
These Terms, together with the Privacy Policy and any product-specific terms presented to you, form the entire agreement between you and Codeeka regarding the Service.
